This Vendor Agreement (“Agreement”) is entered into between Dango (“Platform,” “we,” “our,” or “us”) and the Vendor (“you,” “your,” or “Seller”) who registers to sell products or services on our platform. By creating a vendor account and listing products on Dango, you agree to the following terms:
1. Purpose
This Agreement establishes the terms under which you may list, market, sell, and distribute your products through the Dango marketplace.
2. Vendor Registration & Eligibility
- Vendors must complete the registration process and provide accurate business information, tax details, and payment information.
- Dango reserves the right to approve or reject vendor applications without explanation.
- Vendors must comply with all local laws and regulations regarding e-commerce, taxes, and product sales.
3. Product Listings & Responsibilities
- Vendors are fully responsible for creating accurate, honest, and lawful product listings, including prices, descriptions, and product images.
- Vendors may not sell illegal, counterfeit, restricted, or prohibited items.
- Dango reserves the right to remove or disable any listing that violates policies or laws.
4. Order Processing & Fulfillment
- Vendors must fulfill orders promptly and within the timeframes stated in product listings.
- Vendors are responsible for safe packaging, shipping, and delivery of products.
- Failure to fulfill orders or maintain service quality may result in store suspension or termination.
5. Payment Terms

7. Customer Service Obligations
- Vendors must respond to customer inquiries and complaints within 24-48 hours.
- Vendors are expected to maintain a professional and courteous tone when communicating with customers.
8. Intellectual Property & Rights
- Vendors must have full rights or authorization to sell all listed products.
- Any infringement of copyrights, trademarks, or patents may result in immediate termination.
- Vendors grant Dango a non-exclusive, royalty-free license to use product images, logos, and descriptions for promotional purposes.
9. Compliance & Prohibited Activities
Vendors agree NOT to:
- List counterfeit, illegal, stolen, or unsafe products.
- Engage in fraud, fake reviews, or price manipulation.
- Redirect Dango customers to external sites for purchases.
- Misuse customer data for purposes other than fulfilling orders.
10. Vendor Account Suspension & Termination
- Dango reserves the right to suspend, limit, or terminate vendor accounts for policy violations, customer complaints, or fraudulent activities.
- Vendors may request account termination, but all pending orders must be fulfilled prior to closure.
11. Limitation of Liability
- Dango provides a platform for vendors to sell but is not responsible for product quality, delivery, or vendor misrepresentation.
- Vendors are solely liable for their actions, listings, and legal compliance.
12. Confidentiality
Vendors agree to keep confidential any sensitive information shared by Dango, including platform data, analytics, and internal communications.
13. Modifications to Agreement
Dango may update this Agreement from time to time. Vendors will be notified of significant changes, and continued use of the platform constitutes acceptance of updates.
14. Governing Law & Dispute Resolution
